10. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the State of Illinois, United States, without regard to its conflict of law provisions.
Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Chicago, Illinois, and you irrevocably consent to personal jurisdiction and venue in such courts.
11. Dispute Resolution
11.1 Informal Resolution
In the event of any dispute, claim, or controversy arising out of or relating to these Terms, the parties agree to first attempt to resolve the dispute informally by contacting each other.
11.2 Binding Arbitration
If the parties are unable to resolve the dispute informally within sixty (60) days, the dispute shall be resolved by binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association. The arbitration shall take place in Chicago, Illinois. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
12. Waiver and Severability
No waiver by Triangu of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Triangu to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.
If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.
13. Entire Agreement
These Terms, together with our Privacy Policy, constitute the sole and entire agreement between you and Triangu LLC regarding the Site and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Site.
